PESTECH (CAMBODIA) PLC. (“PEPC”) wishes to inform shareholders and the public that the Company has changed its financial year-end to align with that of its holding company, PESTECH International Berhad.

Old Financial Year-End: 30 June
New Financial Year-End: 30 September
Effective Date: 1 October 2024
Transitional Period: 1 July 2024 – 30 September 2024
New Reporting Period:
Quarterly and Annual Reports
First Quarter for year 2025: 1 October 2024 to 31 December 2024
Second Quarter for year 2025: 1 January 2025 to 31 March 2025
Third Quarter for year 2025: 1 April 2025 to 30 June 2025
Fourth Quarter for year 2025: 1 July 2025 to 30 September 2025
Annual Report 2025: 30 September 2025

The Company will prepare and disclose a periodic financial report for a transitional period of three months from 1 July 2024 to 30 September 2024 in accordance with applicable regulations.

Subsequently, the new financial years will be from 1 October to 30 September annually, starting from 1 October 2024.

In the fourth quarter period ended 30 June 2024, the total revenue of PEPC is KHR17,489 million, representing an increase of KHR9,026 million or 106.7% as compared to preceding year corresponding quarter that was recorded at KHR8,463 million. The changes in revenue reflected the execution progress of various projects in Cambodia.

As at 30 June 2024, the total asset is KHR931,141 million representing a decrease of KHR268,345 million or 22.4% as compared to KHR1,199,486 million in the financial year ended 30 June 2023 and total equity is KHR12,403 million representing a decrease of KHR79,005 million or 86.4% as compared to KHR91,408 million in the financial year ended 30 June 2023.

The significant indicators in the fourth quarter of FY 2024 are as follows:

The loss after tax for the current quarter under review was KHR40,647 million as compared to loss after tax of KHR10,336 million in the preceding year corresponding quarter, representing an increase in loss of KHR30,311 million or 293.3%.

In the third quarter period ended 31 March 2024, the total revenue of PEPC is KHR9,909 million, representing a decrease of KHR9,251 million or 48.3% as compared to the preceding year corresponding quarter that was recorded at KHR19,160 million. The changes in revenue reflected the execution progress of various projects in Cambodia. Lower revenue in the current quarter under review was mainly due to the completion of East Siem Reap project in March 2023 and lower project progress as compared to preceding year corresponding quarter.

As at 31 March 2024, the total asset is KHR1,101,090 million representing a decrease of KHR98,396 million or 8.2% as compared to KHR1,199,486 million in the financial year ended 30 June 2023 and total equity is KHR52,270 million representing a decrease of KHR39,138 million or 42.8% as compared to KHR91,408 million in the financial year ended 30 June 2023.

Mr. Dav Ansan, the Chairman of the Meeting called the Meeting to order at 9:30 a.m and welcomed all directors who presented online, shareholders, proxy and invitees who were present to the Meeting. He then introduced the Corporate Secretary.

Ms. Pin Sokun Tevy, the Corporate Secretary informed the Chairman that the requisite quorum being present was in accordance with the Article 37 of the Company’s Articles of Incorporation, the Chairman declared that the Meeting duly convened. The Corporate Secretary then briefed the Meeting house rules to all attendees and went through the polling procedures to the Shareholders and Proxy.

The Chairman presented the following resolutions to be voted by way of poll:

1. Approval on the change of registered office’s address
2. Approval on the amendments to the Company’s Articles of Incorporation, to update the registered office’s address and to replace Article 50 in its entirety and replace with the new Article

The Chairman announced that the poll was opened and the Shareholders and Proxy were required to cast their votes on the ballot paper that was distributed during the registration.

All attendees were invited to wait for the poll results.

In conclusion, the two resolutions were approved by the Shareholders. The Meeting was adjourned at 10:30 a.m.
